01 About These Terms

These Terms of Service primarily govern your use of the SOLVINTAL website, including our pages, content, forms, chatbot and other website features.

If you become a SOLVINTAL client, your project or engagement may also be governed by a separate proposal, statement of work, order form, service agreement, Staff Augmentation agreement, non-disclosure agreement or other written contract.

Those client-specific agreements may contain additional or different terms relating to matters such as:

  • Scope
  • Pricing
  • Payment
  • Timelines
  • Intellectual property
  • Confidentiality
  • Staffing
  • Replacements
  • Termination
  • Liability

Where a client-specific written agreement conflicts with these Terms of Service, the client-specific agreement will take precedence for that engagement.

These Terms of Service do not by themselves create a client relationship or commit SOLVINTAL to provide any particular service.

02 About SOLVINTAL

SOLVINTAL provides technology, talent and digital services to businesses, including:

  • Software Development
  • Web Development
  • Mobile Applications
  • SaaS Platforms
  • Custom Software
  • Product and UI/UX
  • AI Agents
  • Staff Augmentation
  • Technology consulting
  • Ongoing digital and technology partnerships through Shared Ambitions
  • Other related services agreed with clients

The exact scope of any engagement will be defined separately between SOLVINTAL and the client.

03 Using Our Website

You may use the SOLVINTAL website for lawful business and informational purposes.

You agree not to:

  • Use the website for unlawful, fraudulent or harmful activities
  • Attempt to gain unauthorized access to our systems or infrastructure
  • Interfere with the security or operation of the website
  • Introduce malware, malicious code or harmful technologies
  • Copy or misuse website content in violation of intellectual property rights
  • Misrepresent your identity or affiliation
  • Use automated systems to scrape or extract website content without authorization

SOLVINTAL may restrict or suspend website access where we reasonably believe misuse, unlawful activity or security risks are involved.

04 Enquiries, Proposals and Estimates

Information provided through our website does not automatically create a contractual relationship.

Any proposal, estimate, timeline, quotation or scope shared by SOLVINTAL is based on the information available at the time.

Final pricing, deliverables, responsibilities and timelines may change where:

  • Requirements change
  • New information becomes available
  • Additional work is requested
  • Technical limitations are discovered
  • Third-party dependencies affect delivery
  • The agreed scope changes

No project or engagement is considered confirmed until the parties agree to the relevant commercial terms.

05 Software Development Services

Software Development engagements may include planning, design, development, testing, deployment, maintenance or other agreed services.

The applicable proposal, agreement or statement of work may define:

  • Scope
  • Deliverables
  • Technology
  • Timeline
  • Milestones
  • Responsibilities
  • Payment terms
  • Acceptance criteria

Unless expressly agreed otherwise, work outside the approved scope may require additional time, cost or a revised agreement.

06 Staff Augmentation Services

Where SOLVINTAL provides professionals through Staff Augmentation, those professionals may work alongside the client's teams, systems and workflows while remaining resources of SOLVINTAL.

Unless expressly agreed otherwise in writing:

  • Assigned professionals remain employed, contracted or otherwise engaged by SOLVINTAL
  • Their professional association remains with SOLVINTAL throughout the engagement
  • Assignment to a client does not create an employment relationship between the professional and the client
  • Professionals are not required to change their LinkedIn employment, public professional profile or professional affiliation to represent themselves as employees of the client
  • Their public professional association may continue to identify SOLVINTAL as their employer or professional organization
  • Clients may provide project direction, priorities, access and day-to-day collaboration without changing the professional's relationship with SOLVINTAL
  • Any direct hiring, contracting or engagement of an assigned professional outside SOLVINTAL remains subject to the applicable client agreement

Minimum Engagement Period

SOLVINTAL Staff Augmentation is designed for meaningful, ongoing engagements rather than short-term resource placements.

Unless SOLVINTAL expressly agrees otherwise in writing, the minimum initial commitment for a Staff Augmentation engagement is one year (12 months).

SOLVINTAL does not generally provide professionals for short-term engagements of one to four months.

The applicable client agreement may define:

  • Required roles and skills
  • Working hours
  • Engagement duration
  • Monthly or hourly rates
  • Reporting arrangements
  • Replacement conditions
  • Access requirements
  • Confidentiality obligations
  • Notice periods
  • Renewal or extension terms

Clients remain responsible for providing appropriate project direction, access, information and working conditions reasonably required for assigned professionals to perform their responsibilities.

The commercial rate charged by SOLVINTAL represents the overall Staff Augmentation service provided by SOLVINTAL.

SOLVINTAL is not required to disclose individual compensation, payroll costs, recruitment costs, operating expenses, commercial margins or other internal financial information unless expressly agreed otherwise in writing.

07 Shared Ambitions Engagements

Shared Ambitions is intended for clients who want an ongoing relationship with SOLVINTAL beyond a single project or individual resource.

The services involved may evolve over time and can include:

  • Technology
  • Product
  • Talent
  • Design
  • Digital operations
  • Growth support
  • Other agreed capabilities

Because these engagements are flexible by nature, the exact scope, priorities, responsibilities and commercial terms will be agreed with the client and may be updated as business needs change.

08 Client Responsibilities

Clients are responsible for providing SOLVINTAL with accurate and timely information reasonably required to perform agreed services.

This may include:

  • Business requirements
  • Project documentation
  • System access
  • Technical information
  • Brand assets
  • Content
  • Feedback
  • Approvals
  • Credentials
  • Relevant third-party access

Delays caused by missing information, delayed approvals, unavailable stakeholders or changing requirements may affect delivery schedules.

Clients are responsible for ensuring they have the appropriate rights and permissions to provide any materials, data, systems or access supplied to SOLVINTAL.

09 Fees and Payment

Fees will be communicated before or during the relevant engagement and may be defined in a proposal, invoice, contract or statement of work.

Unless otherwise agreed in writing:

  • Payments must be made according to the stated payment schedule
  • Taxes, duties or similar charges may be added where applicable
  • Additional work outside the agreed scope may be charged separately
  • Late or outstanding payments may delay or suspend services
  • SOLVINTAL may withhold deliverables where undisputed payments remain overdue

Staff Augmentation Advance Billing

Staff Augmentation services are billed in advance.

The client must pay for each upcoming monthly service period before the assigned professional begins or continues providing services for that month.

For recurring monthly Staff Augmentation engagements, all undisputed invoices for the following month must be paid in full no later than the 28th calendar day of the preceding month, unless a different payment schedule has been expressly agreed in writing.

For example:

A SOLVINTAL professional scheduled to begin working with a client on October 1 must have the applicable October service invoice paid in advance, normally no later than September 28.

The same advance billing cycle continues for each subsequent month during the engagement.

Where the 28th falls on a non-business day, SOLVINTAL may require payment by the preceding business day.

Where an engagement is confirmed after the normal billing deadline, the first invoice must be paid in full before the professional's agreed start date unless SOLVINTAL agrees otherwise in writing.

An assigned professional is not required to begin or continue work for a service period for which the applicable advance payment has not been received.

10 Changes to Scope

Technology projects and ongoing engagements may evolve over time.

Where requested changes materially affect the agreed scope, SOLVINTAL may propose changes to:

  • Pricing
  • Delivery timeline
  • Team composition
  • Technical approach
  • Deliverables
  • Resource allocation

Material changes will normally be discussed and agreed before the additional work proceeds.

11 Intellectual Property

Ownership of project-specific intellectual property will be governed by the applicable client agreement.

Unless otherwise agreed in writing, SOLVINTAL retains ownership of:

  • Pre-existing tools
  • Internal frameworks
  • Reusable code
  • Development utilities
  • Processes
  • Methodologies
  • General know-how
  • Templates
  • Non-client-specific components

Where a client has fully paid for agreed custom deliverables and ownership transfer forms part of the engagement, the applicable agreement may assign the relevant rights to the client.

Third-party technologies, open-source software and licensed materials remain subject to their respective licenses and ownership terms.

12 SOLVINTAL Website Content

Unless otherwise stated, the content on the SOLVINTAL website, including text, branding, graphics, layouts, concepts and original materials, belongs to SOLVINTAL or is used with appropriate permission.

You may view and reference our website for normal business purposes.

You may not reproduce, distribute, modify, commercially exploit or present our original content as your own without permission.

13 Third-Party Technologies and Services

Our work may involve third-party platforms, software, APIs, hosting providers, libraries, tools or services.

SOLVINTAL does not control third-party services and is not responsible for matters outside our reasonable control, including:

  • Availability
  • Service interruptions
  • Pricing changes
  • Policy changes
  • Third-party security incidents
  • Changes to functionality
  • Decisions made by third-party providers

Where appropriate, we will communicate material third-party dependencies relevant to an engagement.

14 Confidentiality

During an engagement, either party may receive confidential or commercially sensitive information from the other.

Where information is reasonably understood to be confidential, both parties should take appropriate steps to protect it and use it only for the purpose for which it was shared.

More detailed confidentiality obligations may be included in a separate non-disclosure agreement or client contract.

15 Data and Security

Clients remain responsible for determining what information they provide to SOLVINTAL and ensuring they have the necessary rights and permissions to do so.

SOLVINTAL takes reasonable measures intended to protect information and systems under our control.

However, no digital system, network or electronic transmission method can be guaranteed to be completely secure.

Personal information processed through our website is also subject to our Privacy Policy.

16 No Guaranteed Business Outcome

SOLVINTAL works to deliver services professionally and in accordance with the agreed scope.

However, technology, product, marketing and business outcomes depend on many factors outside SOLVINTAL's control.

Unless expressly agreed in writing, SOLVINTAL does not guarantee specific outcomes such as:

  • Revenue growth
  • User adoption
  • Market success
  • Search rankings
  • Investment
  • Sales performance
  • Profitability
  • Specific commercial results

Our responsibility is to perform the agreed services with reasonable professional care.

17 Service Availability

SOLVINTAL aims to keep its website and services available and reliable.

Access may occasionally be interrupted because of:

  • Maintenance
  • Infrastructure issues
  • Security requirements
  • Third-party outages
  • Technical failures
  • Events beyond our reasonable control

SOLVINTAL may also update, change or discontinue website features where reasonably necessary.

18 Warranties

Except where expressly stated in a written agreement, the SOLVINTAL website is provided on an "as available" basis.

To the extent permitted by applicable law, SOLVINTAL does not make additional warranties regarding uninterrupted website availability, error-free operation or suitability for every particular purpose.

Any warranties relating to client work will be governed by the applicable project or service agreement.

19 Limitation of Liability

To the extent permitted by applicable law, SOLVINTAL will not be liable for indirect, incidental, special or consequential losses arising from the use of our website or services.

This may include loss of:

  • Revenue
  • Profit
  • Business opportunity
  • Data
  • Goodwill
  • Expected savings

Where liability cannot legally be excluded, it will be limited to the extent permitted by applicable law and any limitations agreed in the relevant client contract.

Nothing in these Terms excludes liability that cannot legally be excluded.

20 Indemnification

Where permitted by applicable law, you agree to be responsible for losses, claims or expenses resulting from your unlawful use of the SOLVINTAL website, infringement of third-party rights or material breach of these Terms.

Client-specific indemnification obligations may be defined separately in the applicable agreement.

21 Suspension or Termination

SOLVINTAL may suspend website access, assigned professionals or services where reasonably necessary because of:

  • Material breach of agreed terms
  • Non-payment or late payment
  • Security concerns
  • Illegal or abusive activity
  • Misuse of our systems
  • Other circumstances defined in the applicable agreement

For Staff Augmentation engagements, failure to pay the applicable advance invoice may result in the assigned professional not starting or temporarily stopping work until payment has been received.

Clients may terminate services according to the notice, minimum commitment and termination provisions agreed for the relevant engagement.

Termination does not remove payment obligations for services already provided, committed service periods or costs properly incurred before termination where those amounts remain payable under the applicable agreement.

22 Non-Solicitation, Direct Hiring and Resource Relationships

Professionals introduced, assigned or made available to a client through SOLVINTAL remain associated with SOLVINTAL unless SOLVINTAL expressly agrees otherwise in writing.

Clients may not bypass SOLVINTAL by directly employing, contracting, engaging or arranging services with an assigned or introduced professional where doing so would conflict with the applicable client agreement.

Any direct employment, contracting, transfer or conversion of a SOLVINTAL professional may be subject to:

  • Prior written approval
  • Notice requirements
  • Conversion fees
  • Recruitment fees
  • Transition arrangements
  • Other terms contained in the applicable agreement

The specific restrictions and any applicable period following an engagement will be defined in the relevant Staff Augmentation or client agreement.

23 Governing Law

Unless otherwise agreed in writing, these Terms are governed by the applicable laws of Pakistan.

Where a separate client agreement specifies a different governing law, jurisdiction or dispute resolution process, that agreement will apply to the relevant engagement.

24 Changes to These Terms

SOLVINTAL may update these Terms from time to time as our website, services, business practices or legal requirements evolve.

The latest version will be published on this page together with an updated effective date.

Continued use of the website after changes are published constitutes acceptance of the revised Terms where permitted by applicable law.

For existing client engagements, changes to contractual obligations will remain subject to the applicable client agreement.
